1. Who we are
BuildMarket is operated by BuildMarket, Inc. ("BuildMarket", "we", "us"). BuildMarket is an online marketplace where people who build digital products with AI tools can value, list, sell, auction and license those products, and where buyers can discover and acquire them.
2. What BuildMarket is — and is not
- BuildMarket provides the marketplace, valuation reports, listing tools, messaging, deal rooms and structured transfer checklists.
- BuildMarket is not a party to any sale or license between a seller and a buyer.
- BuildMarket is not a bank, escrow agent, broker-dealer, investment adviser or law firm. Acquisition funds are held by an independent, regulated escrow provider selected by BuildMarket. BuildMarket never holds buyer acquisition funds.
- BuildMarket does not facilitate the sale of company shares, securities, tokens, fractional ownership or investment contracts. Sellers sell specified digital assets and associated rights.
3. Accounts
You must be at least 18 years old and able to form a binding contract. Keep your credentials secure and enable two-factor authentication where possible. You are responsible for activity under your account. We may suspend accounts that violate these terms, the Marketplace Rules, or applicable law.
4. Sellers
By listing, you represent and warrant that you own or have the right to sell or license every asset in the listing; that your listing and any data you enter are accurate; and that the assets do not infringe third-party rights. Data you enter manually is displayed as "seller reported". Data read from connected accounts is displayed as "verified" only when BuildMarket obtained it directly from the source.
5. Buyers
Buyers are responsible for their own due diligence. Deal rooms, verified badges and BuildScores help you evaluate an asset; they are not guarantees. Bids and accepted offers are binding commitments to proceed with the transaction in good faith.
6. Auctions, offers and binding commitments
A bid is a binding offer to purchase at that price if it is the winning bid and any reserve is met. Sellers may not bid on their own auctions directly or indirectly. Accepted offers and winning bids create a transaction that both parties must complete through the escrow process described in the Marketplace Rules. Failing to complete a transaction may result in fees, suspension or removal.
7. Fees
Listing is free. BuildMarket charges a success fee on completed asset sales, a marketplace fee on license sales, a fee for valuation reports and optional featured placement fees. Current fees are published on the pricing page and in your transaction summary before you commit. Fees are collected through the escrow transaction structure or the payment processor; BuildMarket does not deduct fees from funds it holds itself.
8. Valuations
Valuation reports are generated by the BuildMarket valuation engine from verified data, seller-reported data and our analysis. The BuildMarket estimate is a data-driven marketplace estimate and not a certified appraisal, investment recommendation, guarantee of sale price, or financial advice. See the Valuation Disclaimer.
9. Intellectual property
You retain ownership of your content and assets. You grant BuildMarket a limited license to display listing content on the platform and in marketing of the marketplace (for example a public sold page where you have consented). BuildMarket owns the platform, the BuildScore methodology and aggregated, anonymized marketplace data.
10. Prohibited conduct
See the Marketplace Rules and Prohibited Assets policy. In short: no fraud, no misrepresentation, no shill bidding, no off-platform circumvention of a transaction started on BuildMarket, no malware, no infringing content, no harassment.
11. Termination
You may close your account at any time from settings, subject to completing active transactions. We may suspend or terminate accounts for violations. Sections that by their nature should survive (fees owed, representations, liability limits, dispute process) survive termination.
12. Disclaimers and limitation of liability
THE PLATFORM IS PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, BuildMarket DISCLAIMS ALL WARRANTIES AND IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR THE ACTS OR OMISSIONS OF BUYERS, SELLERS OR THIRD-PARTY PROVIDERS. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM IS LIMITED TO THE FEES YOU PAID TO BuildMarket IN THE 12 MONTHS BEFORE THE CLAIM.
13. Disputes with BuildMarket
These terms are governed by the laws of Delaware, USA. Before starting any formal proceeding, contact legal@buildmarket.com so we can try to resolve the issue.
14. Changes
We may update these terms. Material changes are announced in the app and by email; continued use after the effective date means you accept the new terms.
