Deal Room Confidentiality Agreement

By requesting access to a deal room on BuildMarket, I agree that:

1. Confidential Information means all non-public information the seller makes available in the deal room, including metrics, financial exports, documentation, architecture, customer information (anonymized or otherwise), procedures and asset inventories.
2. I will use Confidential Information solely to evaluate a potential purchase or license of the listed assets.
3. I will not disclose Confidential Information to anyone except advisers who need to know it for the evaluation and who are bound by equivalent obligations.
4. I will not copy, scrape or retain Confidential Information beyond what is reasonably necessary for evaluation, and I will delete it on request or when I stop evaluating.
5. Obligations do not apply to information that is public through no fault of mine, that I already lawfully possessed, or that I am required by law to disclose (with notice to the seller where lawful).
6. These obligations last two years from my acceptance, or longer for trade secrets while they remain trade secrets.
7. The seller may seek injunctive relief for breach. BuildMarket is not a party to this agreement but may revoke my access for violations.
